WingID™ Research Portal

These Terms of Service ("Terms") govern access to and use of the WingID Research Portal ("Portal"), provided by WaterfowlAI, Inc., a Delaware corporation with principal offices in Missouri ("WaterfowlAI," "we," "our"). By creating an account or accessing the Portal, you agree to these Terms.

These Terms operate in conjunction with the WaterfowlAI Research Access License Agreement and Exhibit A (Post-Project Access Terms). In the event of conflict, the License Agreement controls.

1. LICENSE & ACCESS

1.1 Limited License

WaterfowlAI grants you a limited, non-exclusive, non-transferable, revocable license to access the Portal solely for non-commercial research purposes.

• This license expires December 31, 2025.
• Access may be revoked at any time without notice or cause.

1.2 Pilot Program Restrictions

• Access restricted to individuals approved by the California Waterfowl Association (CWA).
• Credentials are personal and non-transferable.
• Sharing credentials or allowing third-party access results in immediate termination.
• No right to continued access after December 31, 2025.
• All outputs marked "research use only."

2. DATA OWNERSHIP & LICENSE

2.1 User Data

You retain ownership of raw images you upload. By uploading, you grant WaterfowlAI a perpetual, worldwide, royalty-free, and irrevocable license to:

• Process and analyze data for model training and validation.
• Generate derivative datasets and products.
• Use results for commercial, scientific, and conservation purposes.

Institutional deletion requests may remove identifiable content but not anonymized training data.

2.2 Derived Data & Models

All derivative datasets, analytics, and AI models created from user data are the exclusive property of WaterfowlAI.

No rights to reproduce, modify, or distribute derived works are granted.

2.3 Prohibition on Secondary Use

Data or outputs may not be downloaded, redistributed, or integrated into other systems without written consent from WaterfowlAI.

3. PROPRIETARY RIGHTS & INTELLECTUAL PROPERTY

All code, architecture, datasets, and model weights comprising WingID™ remain solely owned by WaterfowlAI. Users acknowledge no ownership or development rights.

4. CONFIDENTIALITY

All information about WingID™, including performance, data handling, and accuracy, is confidential. You shall not disclose such information without written consent from WaterfowlAI. All press or media inquiries must be directed to WaterfowlAI or CWA.

5. OUTPUTS & PUBLICATIONS

• Research outputs may be published only with prior written notice to WaterfowlAI.
• Required attribution: "WingID™ by WaterfowlAI, Inc."
• No publication may disclose datasets, architecture, or model details.

6. DISCLAIMERS & LIMITATIONS

The Portal is provided "AS IS." WaterfowlAI makes no warranties of accuracy or fitness for purpose and is not liable for direct or indirect damages arising from its use.

7. TERMINATION

Access terminates December 31, 2025, or earlier for breach. All rights to use or retain outputs cease upon termination.

8. ENFORCEMENT & GOVERNING LAW

Violations may result in termination and legal action for injunctive and monetary relief. You agree to indemnify WaterfowlAI for losses arising from misuse or breach.
